In connection with its use of the Customers Online System (COL), Channel Partner agrees to implement and abide by reasonable security procedures to ensure that access to the system is limited only to those trained and authorized to use it. Such procedures shall include, but not be limited to, the proper use and maintenance of passwords and, where necessary, the establishment of firewalls to reduce the risk of external security breaches.
Orders placed or maintained through COL System are governed by the terms and conditions of sale in effect at the time of purchase, and by your Armstrong Channel Partner Agreement. Proper password protection requires a number of safeguards. Among these, Channel Partners shall regularly modify the password used to access the COL system and, in addition, shall modify the password immediately upon termination of employment of any employee with knowledge of the current password. In the case that a Channel Partner can not change their password for any reason, they should contact their sales representative who will facilitate the change.
Armstrong shall not be liable for any errors or omissions in the creation or fulfillment of online orders due to breaches of security arising from channel partner's failure to take reasonable security precautions. Channel Partner shall indemnify and hold Armstrong harmless against all claims, damages, cost, judgements and liabilities arising out of any failure of Channel Partner to establish and maintain reasonable security procedures.
